Whose credit is it, once you have guaranteed it?

A chip maker put its name behind $105 billion of its biggest customer’s buildings. You do not have to guess why. The guarantee ends when that customer wins a satisfactory credit rating. It says so itself.

Within a day of the first report, lenders began charging the chip maker for the customer’s credit.

Read clause (i) again. Nobody is concealing a view about the customer’s creditworthiness. It is written in as the condition on which the guarantee ends.

Four parties

The chip maker sells the chips and signs the guarantee. It carries the risk it has just absorbed.

The customer buys the chips and leases the capacity for twenty years. It owns none of the campus, and the borrowing sits elsewhere.

The owner builds, runs and holds the buildings, and receives the guarantee — which is why it can raise the money.

The lenders are the only money from outside the arrangement. Persuading them is what the guarantee is for.

The Diagnosis

You take in what belongs to someone else, and the world starts treating it as yours.

Ferenczi named the process by which a person takes an external object’s qualities inside the self, where they operate as if native. The clinical interest was never the taking in. It was what the person is then held responsible for.

A man in his fifties arrives carrying his father’s standard of what counts as a real job, and defends it hotly as his own. Everyone around him now assesses him against it. From the outside there is no seam between what he borrowed and what was his.

A guarantee is that act, performed in writing. The decision itself is defensible. What interests me is the speed of the reassessment. Inside one trading day the bondholders re-rated the guarantor.

What is on the couch is a structure. Nothing here suggests concealment: they disclosed it, and the bond desks read it faster than the commentary did.

If you own the guarantor, you now own a second credit you never analyzed.
